Job Summary:

Company Secretary

Key Responsibilities:

• Ensure compliance with Companies Act, 2013 and other applicable laws and regulations.
• Maintain statutory registers, records, and filings with the Ministry of Corporate Affairs (MCA).
• Prepare and file necessary forms, resolutions, and returns (e.g., MGT-7, AOC-4, DIR-3 KYC).
• Coordinate and conduct Board Meetings, Annual General Meetings (AGMs).
• Draft and circulate notices, agendas, resolutions, and minutes in accordance with Secretarial Standards.
• Provide legal and regulatory guidance to management on corporate matters.
• Liaise with auditors, regulators, and legal advisors as required.
• Draft and review legal agreements, NDAs, and MOUs where required.

Qualifications and Skills:

• Qualified Company Secretary (CS) – ICSI member.
• 1–3 years of experience in a similar role.
• Strong knowledge of corporate laws, secretarial standards, and regulatory compliance.
• Proficient in MCA portal filings and ROC procedures.
• Excellent drafting, communication, and organizational skills.
