We are seeking a dedicated *Company Secretary (CS) for our Ahmedabad Office. This full time on site role is essential for ensuring corporate governance compliance and adherence to statutory and regulatory requirements. Key Responsibilities : Draft and vet legal agreements contracts, memoranda of Understanding (MOUs) and notices. Must have experience in Portfolio Management Services (PMS) compliance, stock broking Alternative Investment Fund(AIF) compliance or GIFT AIF compliance will be advantageous. Preparation and submission of the Draft Red Herring Prospectus (DRHP) to the Securities and Exchange Board of India (SEBI) or relevant regulatory authority. Strong understanding of corporate laws, SEBI, and listing compliance Coordinate with vendors external legal advisors, auditors, underwrites and consultant to ensure timely preparation and review of agreements reports, and documents throughout the IPO process. Ensuring all legal documents, agreements and disclosures and accurately prepared maintaining and Filling annual returns and corporate disclosures. Act as liaison with the Registrar of Companies (ROC) government authorities, and professional consultant to ensure timely and accurate secretarial filings. Coordinate with regulatory bodies and prepare annual returns. Ensure complete adherence to the provision of the Companies Act 2013, and other relevant regulations. Provide legal and secretarial support to the organization and coordination between departments. Handle any other compliance - related task as assigned, routine corporate filings and disclosures demonstrating flexibility and adaptability. Forming audit committed and other necessary governance bodies as per regulatory requirements. Establishing robust corporate governance framework to meet the expectations of regulators and investors. Developing a strategy for communicating with potential investors and analyst Presentation to promote the IPO and engage with the investment community Post - IPO Compliance Adhering to ongoing disclosure and reporting obligations after the IPO, including quarterly and annual financial reports. Compliances with corporate governance norms and maintain transparency with shareholders. Implementing risk management practices to mitigate potential legal and financial risk associated with fund operations. Skills Exceptional drafting and communication skills with a fluency in legal terminology and process. Strong analytical skills and attention to details for managing confidential information and complex compliance requirements, Strong interpersonal skills and effective stakeholder coordination Qualification : Qualified Company Secretary (CS) with 2–3 years of post-qualification experience. A Bachelor's degree in Law or Commerce is an added advantage. Excellent communication, drafting, and coordination skills.
