Job Title: Company SecretaryLocation: KolkataReporting to: Board of Directors / Managing Director / CEOEmployment Type: Full-time Job Summary:The Company Secretary (CS) is a key managerial personnel under the Companies Act, 2013, responsible for ensuring the company’s compliance with statutory and regulatory requirements. The CS will act as a link between the Board of Directors and regulatory authorities and ensure that Board procedures are followed, and applicable rules and laws are complied with. Key Responsibilities:1. Statutory and Legal ComplianceEnsure compliance with the Companies Act, 2013 and rules made thereunder.Maintain statutory registers and records including registers of members, directors, and charges.File necessary documents (ROC filings) such as MGT-7, AOC-4, DIR-3 KYC, PAS-6 etc. with the Registrar of Companies (RoC) within prescribed timelines.Ensure compliance with FEMA, SEBI, RBI, and other regulatory bodies, wherever applicable.Respond to and deal with legal notices and statutory notices 2. Board and General MeetingsOrganize and convene Board Meetings, Committee Meetings (Audit, CSR, Nomination & Remuneration, etc.), and Annual General Meetings (AGMs).Draft and circulate notices, agendas, and minutes of meetings in accordance with Secretarial Standards (SS-1 and SS-2).Ensure proper recording and filing of resolutions and decisions taken at meetings. 3. Corporate GovernanceAdvise the Board and senior management on good governance practices.Ensure proper disclosure under corporate laws, SEBI LODR Regulations (if listed), and compliance with internal policies.Assist in the formulation and implementation of policies like Code of Conduct, Insider Trading, Whistleblower, and ESG practices. 4. Liaison and RepresentationAct as the point of contact with regulators like RoC, MCA, SEBI, NSE/BSE, and RBI.Represent the company in legal matters relating to corporate compliance or investor grievances. 5. Record Keeping & DocumentationMaintain share certificates, records of shareholding patterns, and coordinate with RTA (Registrar and Transfer Agent).Manage secretarial audits, due diligence, and ensure regular compliance health checks. Qualifications and Skills:Qualified Company Secretary (Member of ICSI).LLB or other legal qualifications (preferred but not mandatory).3–7 years of relevant experience (or as required by the organization).In-depth knowledge of corporate laws, secretarial standards, and governance frameworks.Strong interpersonal, drafting, and communication skills.Proficient in MS Office, MCA portal, and compliance tools. Remuneration:Commensurate with experience and industry standards. A CA/CS will be preferred.
