As a Commercial Counsel at IFF, your role is crucial in impacting the business positively by handling various legal matters and complex commercial transactions. Your primary responsibilities will include: - Drafting a variety of commercial contracts such as NDAs, Distribution, Supply Chain, Joint Development, Consultancy, Service, Toll Manufacturing Agreements, etc. - Advising different business units and functions on complex commercial transactions, including import and export transactions. - Reviewing, drafting, and negotiating a high volume of stand-alone commercial contracts. - Providing legal transactional support to various businesses and advising on legal considerations and risk mitigation strategies. - Participating in the development of strategic decisions for your business and leading strategic initiatives in the global commercial challenges facing health, food, flavors, and fragrance markets. - Collaborating with legal subject matter experts and other legal colleagues. - Handling litigation and disputes with third parties and statutory authorities. - Maintaining strong working relationships with internal clients and external counterparts. - Engaging with cross-functional teams and matrix partners to drive agendas effectively. To be successful in this role, you will need: - A law degree from a reputable university in India. - Qualified Company Secretary will be preferred. - 10 years of relevant legal experience, including top-tier law firm experience and in-house commercial legal position in an international company preferred. - Experience in food, biotechnology, or life science industries considered a plus. - Fluency in English language is mandatory. - Strong judgment, discretion, and the ability to adapt to multiple competing priorities. - Excellent oral and written communication skills demonstrated through interactions with teams, clients, and third parties. - Proactive engagement across a broad range of client groups.
