Job Title: U.S. Tax Senior Associate Job Type: Full-time Work Location: Remote As a member of SWBA Tax’s team, you will be responsible for conducting tax diligence, structuring transactions, and managing projects for both buy-side and sell-side engagements involving corporate and private equity clients. This role offers exposure to diverse industries and the opportunity to support team members in navigating complex tax considerations for clients. Responsibilities: Provide comprehensive corporate tax advisory services, covering strategic planning, in-depth research, and support for mergers and acquisitions. Manage client engagements, working closely with C-suite executives to conduct financial due diligence on middle-market companies across diverse industries. Partner with private equity firms, strategic clients, and investment banks to perform buy-side and sell-side due diligence, as well as other M&A tax-related activities. Collaborate within a multidisciplinary team to deliver thorough due diligence and innovative tax structuring solutions, effectively presenting key findings and opportunities to clients. Assist clients with complex tax matters, including bankruptcy emergence planning, out-of-court workouts, debt restructurings, tax basis assessments, earnings and profits calculations, and Section 382 studies. Coordinate with finance and accounting departments of target companies, along with tax advisors, to collect essential data for tax risk analysis. Strong expertise in corporate tax regulations across various industries. Exceptional research and writing abilities, with a keen attention to detail and accuracy. Qualifications Required: Master’s in business administration (MBA) or other Masters degree from a reputed university 2 - 8 years of experience in U.S. Taxation preferably at a big-4 US CPA or Enrolled Agent Experience managing other professionals at the senior and staff levels; strong coach/mentor; ability to develop & guide professionals to achieve their potential Experience with data analysis/organization Exhibit strong Excel modeling skills Experience with reviewing / researching client data and other internal data sources Effective verbal and written communication skills Proven leadership skills demonstrating strong judgment, problem-solving, decision-making and project management abilities Strong communication and interpersonal skills; mastery of spoken and written English History of strong performance in current role Ability to adopt exploratory approach to tasks assigned Quickly adapt to a fluid and dynamic team environment Benefits: Be part of an inspiring, diverse team where creativity thrives and innovation is at the heart of everything we do.
