The Company Secretary for Beckman Coulter Diagnostics is responsible Secretarial compliances across multiple OpCo s
You will be a part of the Legal Team located in Mumbai ( On-site) and report to the Diagnostics Platform India Country Counsel responsible for Secretarial responsibilities across multiple OpCo s .
In this role, you will have the opportunity
to: 1. Statutory Compliance MCA Filings
Ensure compliance with provisions under the Companies Act, 2013.
Handle preparation and filing of necessary forms with the Ministry of Corporate Affairs (MCA) (ROC filings, annual returns, event-based filings, etc.).
Maintain statutory registers and records (Board minutes, AGM/EGM resolutions, registers, etc.).
2. RBI FEMA Compliance
Manage and ensure timely filings and compliances under FEMA, including:
FLA returns
FC-GPR/FC-TRS filings
ODI/FDI-related compliance and reporting
Liaise with authorized dealers and RBI for regulatory clarifications and approvals.
3. Board and Governance Support
Organize and coordinate Board meetings and General Meetings.
Draft agendas, resolutions, notices, and minutes.
Advise the Board on corporate governance practices and ensure regulatory updates are communicated and implemented.
4. Legal Regulatory Interface
Interface with external consultants, legal advisors, auditors, and regulatory authorities as needed.
Support in internal and external audits related to secretarial and compliance matters.
5. Cross-Functional Coordination
Work closely with global legal and finance teams on entity compliance, corporate secretarial matters, and regulatory reporting.
It would be a plus if you also possess previous experience
in: - Company Secretary (CS) qualification ICSI member.
- 10 15 years of relevant post-qualification experience, preferably in an MNC or reputed law/compliance firm.
- Strong knowledge of Companies Act, FEMA, and RBI regulations.
- Experience in managing corporate compliance for FDI/ODI, ECB, and similar cross-border transactions.
- Excellent written and verbal communication skills.
- High attention to detail with the ability to multitask and manage timelines.
- Experience working with MNCs and exposure to international regulatory environments is an advantage.
