Job Title: Senior Associate - Mergers & Acquisition (M&A) Tax

Role Overview
We are seeking a highly driven and detail-oriented Senior Associate to join our M&A Tax
practice. The role involves supporting clients across the transaction lifecycle—from tax due
diligence and structuring to implementation—with a strong focus on direct tax and regulatory
implications for mergers, acquisitions, restructurings, and
inbound and outbound
investments. The ideal candidate will not only demonstrate strong technical grounding in
direct tax but also possess a working understanding of regulatory frameworks relevant to
M&A transactions (including FEMA, SEBI, Companies Act, and sectoral guidelines). This role is
well-suited for someone looking to deepen their expertise in transaction tax and regulatory
aspects of deals.
Key Responsibilities
in tax due diligence for buy-side and sell-side transactions,
including
identification of tax exposures, risks, and contingencies.
- Support transaction structuring assignments involving mergers, demergers, slump
sales, business transfers, and share acquisitions.
- Prepare tax impact analyses, capital gains computations, and other transaction-related
tax workings.
- Review transaction documents (SPA, SHA, BTA, etc.) from both a tax and regulatory
standpoint, highlighting key deal-related considerations.
- Assist in implementation of restructuring schemes, including documentation, filings,
and coordination with legal and regulatory stakeholders.
- Conduct research and prepare technical memos, presentations, and opinions on direct
tax and regulatory matters impacting deals.
- Support advisory on cross-border investment structures and assess related tax and
regulatory implications (including FEMA and sectoral caps).
Liaise with legal advisors, other intermediaries and client teams to ensure seamless
deal execution.
- Stay updated on amendments in direct tax laws, judicial developments, and regulatory
changes affecting M&A transactions.
- Support internal knowledge initiatives and business development efforts, including
proposals, pitch materials, and thought leadership.
Qualifications & Experience
- Chartered Accountant with 2-3 years of post-qualification experience.
- Relevant exposure to M&A tax, transaction advisory, or direct tax consulting.
- Prior experience in a consulting or tax advisory firm is preferred.
- Strong understanding of Indian direct tax laws; exposure to regulatory frameworks
such as FEMA, SEBI regulations, or Companies Act in a deal context is an added
advantage.
- Excellent analytical, drafting, and stakeholder management skills.
- Proficiency in MS Office (Excel, Word, PowerPoint).
