Job Description

**Role Overview:** As an in-house Legal Counsel at PolyPeptide Group AG, you will play a crucial role in supporting the legal operations of the company across various jurisdictions. With a primary focus on reviewing legal agreements, managing the contract management system, and overseeing corporate governance matters, you will contribute to the overall compliance and legal framework of the organization. **Key Responsibilities:** - Review, draft, and negotiate CDAs (Confidentiality Disclosure Agreements) across the Group. - Support the review of Quality Agreements to ensure consistency with legal policies and templates. - Handle business contracts, service agreements, consulting arrangements, etc. - Oversee contract lifecycle management processes including renewal or archiving of contracts, implementing new contract workflows, and monitoring compliance. - Conduct virtual training sessions on CDAs for internal stakeholders. - Act as company secretary for the subsidiary in India, supporting corporate governance and compliance. - Align with external counsel to confirm annual corporate requirements for Group entities. - Ensure fulfillment of annual corporate compliance obligations and central storage of corporate records. - Coordinate corporate compliance in the EU, US, and India including assistance with board resolutions and regulatory filings. - Support the preparation and execution of the annual general meeting of the parent holding company. - Manage DocuSign access, conduct annual reviews, and monitor court costs and attorneys fees. - Organize and store corporate documents in a structured manner. - Monitor legal and regulatory developments in India relevant to the business. - Support implementation of global legal policies and templates. - Assist in internal audits, compliance reviews, and training initiatives. - Support ESG-related compliance initiatives across the Group. **Qualifications Required:** - LL.M. degree with specialization in corporate law. - 5+ years of post-qualification experience in corporate or commercial law with international exposure. - In-depth experience in a reputable international law firm or as in-house counsel in the life science or manufacturing industry. - Strong contract drafting, negotiation, and analytical skills. - Proficiency in Microsoft Office, contract management systems, and legal research platforms. - Excellent interpersonal, stakeholder management, and communication skills. - Knowledge of business English verbally and in writing, other languages like German or French are a plus.
