Job Description

You will be joining a fast-growing fintech/nbfc company based in Mumbai as the Manager of Compliance. Your role will involve ensuring the organization's adherence to all applicable laws, regulations, RBI guidelines, and industry standards. Your responsibilities will include: - Ensuring compliance with all laws, regulations, and guidelines as per Companies Act and RBI regulations. - Managing end-to-end secretarial compliances, including maintaining statutory registers, filings, and records with regulatory authorities. - Coordinating board meetings, preparing agendas, attending meetings, and drafting minutes. - Vetting, drafting, and negotiating contracts/agreements to ensure comprehensive coverage of commercial, contractual, technical, and administrative matters. - Facilitating communication between the company and its shareholders, organizing annual general meetings, and handling shareholder inquiries. - Implementing good corporate governance practices and advising the board on governance matters. - Providing legal advice to the board and senior management on various legal matters affecting the company. - Monitoring changes in laws and regulations, identifying potential risks, and developing strategies to mitigate them. - Building relationships with regulatory authorities, legal advisors, auditors, and other stakeholders. - Developing, implementing, and maintaining compliance policies tailored to the NBFC sector. - Conducting risk assessments and compliance audits, training staff on compliance standards, and managing regulatory reporting. - Staying updated on NBFC regulations and collaborating with other departments to maintain a culture of compliance. - Investigating and resolving compliance violations promptly and ensuring that contracts and documents are compliant with laws and internal policies. - Developing contract terms, conditions, and modifications, managing labour law compliances. Qualifications: - Qualified CS, LLB preferred. - Minimum of 2+ years of experience in compliance or risk management in the financial services industry, preferably in a fintech/nbfc company. - Thorough understanding of Indian financial regulations, including RBI guidelines, AML/CFT requirements, and data protection laws. - Strong knowledge of compliance best practices and industry standards in the fintech sector. - Excellent analytical and problem-solving skills, with the ability to identify and mitigate compliance risks effectively. - Proven experience in developing and implementing compliance programs in accordance with RBI guidelines. - Ability to work independently in a fast-paced environment, with exceptional communication skills and attention to detail.,
