Job Description

:
The legal Analyst role is a senior position wherein the incumbent should able to understand the nuances of the business and industry and craft the legal and compliance strategy and process accordingly
It is single contributor role, hence willing to own the function end to end The role will also handle Secretarial affairs of the Company
The impact you ll make:
Drafting and Vetting of Business Contracts viz
Sales Agreements, ReSeller Agreements, Service Agreements, Distribution Agreements, Logistics Agreements, NDA, Letter of Intents, MoU etc Negotiation and Execution of contracts with the stakeholders, updating of contract management tools Litigation Management - Co-ordinating with external (Lawyers) and internal stakeholders (business team members) and ensure timely flow of information Co-ordinate with the Head Legal on the strategies of the matters and frame the petitions and responses accordingly Drafting of Letters, notices and responses Carry out researches on industry practices and be up to on the updates on statutory developments applicable to the Company Ensure timely compliance under Legal Metrology laws, including obtaining, amending of licenses, filing of necessary returns etc Advice the business teams on compliance required under the said laws including vetting of the MRP label for the products, auditing the compliance on ecommerce platforms etc Drive compliance of ASCI guidelines across the organization Provide advisory support on Labour issues and associated actions Assist the head in compliance to new age laws viz Privacy, Information Technology Laws and Data Privacy Ensure compliance of POSH provisions Drive POSH trainings across the Organizations Conduct Code of Conduct trainings to the employees Negotiate the Real Estate contracts and carry out end to end execution

Secretarial

Drafting of Notices, Agendas, Resolutions, Minutes etc for the Board, ts committees and Shareholders meeting Filing of necessary Forms with ROC, Ministry of Corporate Affairs Filing of Corporate Actions for Share Transfer to shareholders Coordination with RTA, NSDL, CDSL & other authorities Co-ordination with Secretarial Auditors, Scrutinizers and other PCS and agents who are associated with the Company for Secretarial Affairs Assisting the internal and external stakeholders with clarifications, opinions, letter drafts etc in relation to the secretarial affairs Ensuring overall compliance under Companies Act, 2013 and other applicable corporate secretarial laws Formation of Trusts, change of Trustees, Registration of necessary documents, ensuring compliance by the trusts Timely filings of Forms and other necessary documents Leading the Corporate Social Responsibility (CSR) projects of the Company and reporting the same to the committee in appropriate formats Making PPTs for formal presentations before the Board Making necessary arrangements for the Board and Shareholders meetings

Others:

Ensure timely release PO to the vendors Make payment to the external lawyers, agents and vendors Plan the payment cycle as per the Company process Assist the team in physical agreement executions
The skills and knowledge you ll bring:
Candidate should be a qualified Company Secretary and LLB
7 to 8 years of experience in Listed company Secretarial Affairs
