Job Description

Position: Legal Analyst / Junior Associate

Experience:


Role Overview:

You will be working closely with early-stage startups, both Indian and foreign founders, seeking to expand their business into the United States. Your role will involve supporting cross-border corporate structuring, legal compliance, and transactional documentation across India and the U.S.


Responsibilities:


General Corporate Law Compliance

  • Advise on corporate governance and compliance obligations across all 50 U.S. states (with a focus on Delaware, California, Texas, and New York).
  • Review and audit corporate actions for U.S. entities to ensure compliance with applicable state laws.

 

Cross-Border Structuring and Investment

  • Assist in structuring business entities in India and the United States.
  • Support transactions involving Overseas Direct Investment (ODI) and Foreign Direct Investment (FDI), including capital flows between India and the U.S.
  • Prepare and review documentation for equity and debt infusions under Indian and U.S. regulations.

 

Regulatory Research & Compliance

  • Conduct ongoing research and maintain compliance with SEC regulations, state-level investment laws, labor laws, and general business laws applicable across U.S. jurisdictions.
  • Monitor, analyze, and interpret RBI and FEMA regulations related to cross-border investments.
  • Stay current on legal developments affecting inbound and outbound investments between India and the United States.

 

Contract Drafting & Review

  • Draft, review, and negotiate a variety of U.S. law-governed commercial agreements, including:
  1. Investment Agreements
  2. Co-Founder Agreements
  3. ESOP plans 
  4. Corporate governance documentation
  5. Employment Agreements
  6. Services Agreements
  7. Intellectual Property Agreements
  • Assist with reviewing similar contracts for compliance, enforceability, and negotiation support.


Candidate Profile

  • Strong interest in startup ecosystems, international business law, and cross-border transactions.
  • Exposure to U.S. corporate and contract law preferred.
  • Familiarity with FEMA, RBI circulars, and investment law.
  • Excellent communication and legal research skills.


Qualifications

  • JD or LLB required (recent graduates welcome).
  • 0–1 years of post-qualification experience (internships and training experience acceptable).
  • Strong research and drafting skills. Excellent written and oral communication skills.
