Job Description

Role & responsibilities

  1. Ensuring timely conduction of Board/Shareholder and other committee meetings if any.
  2. Managing compliances under the Companies Act and applicable rules and laws.
  3. Preparation of Board Agenda, Notes to the meeting, Minutes of BoD and AGM, and Shareholder documents as per the requirements of the Companies Act, 2013 and its applicable rules.
  4. Advice on matters relating to Company laws, altering articles and memorandum of association, drafting of Directors report, resolutions, meeting notices etc.
  5. Advising management on implications of various statutory provisions on time to time to strengthen the internal systems and policies of the Company.
  6. Devising CSR policy for the Company and managing the internal communications and implementation of the CSR activities and related programs as and when required.
  7. Filing of e-forms with Registrar of Companies [ROC] and other statutory authorities including RBI, FEMA, FERA, DGFT[Customs] etc.
  8. Maintenance of statutory records as per the Companies Act, 2013. And coordinate with Statutory Auditors for successful completion of the audit processes.
  9. Liason with firm of advocates and government authorities to represent the company for statutory matters including, Fast Track courts, civil courts, Arbitration and High Court matters.
  10. Effectively manage in liasoning and representing the legal cases for the Company.
  11. To perform such other duties and functions as may be assigned by his/her superior / reporting manager from time to time.
  12. Implement the special assignment ordered by CEO
  13. Draft the business related agreement such as dealership agreement and others by having appropriate consultation to the advocate
  14. Prepare the requested documents by the local government to do the business in each areas.
