Job Description

Job Title:

Location: Mumbai

  • Qualified Company Secretary (ICSI Member)
  • LLB (Preferred)

Key Responsibilities:

1. Board & Shareholder Governance

  • Organize, convene, and participate in Board and Committee meetings (Audit, NRC, Risk, CSR, IT Strategy, etc.).
  • Draft and maintain minutes, resolutions, notices, and agendas in compliance with applicable Secretarial Standards.
  • Collaborate with the Chairperson and Directors to ensure effective corporate governance and decision-making.
  • Manage shareholder communications, including AGMs, EGMs, and postal ballots.
  • Coordinate with Registrar & Share Transfer Agent (RTA) on matters such as demat, transmission, and dividend-related issues.
  • Oversee preparation of Annual Reports, including drafting of Boards Report, Corporate Governance Report, and Notices.
  • Draft and review investor disclosures such as press releases, financial results, policies, and other statutory communications.

2. Statutory & Regulatory Compliances

  • Ensure compliance with the Companies Act, 2013 and its allied rules and regulations.
  • Comply with SEBI Listing Obligations and Disclosure Requirements (LODR) for listed entities.
  • Liaise with the Registrar of Companies (ROC) and Ministry of Corporate Affairs (MCA) for necessary filings and communications.
  • Prepare and file statutory returns and forms with MCA and stock exchanges (e.g., MGT-7, AOC-4, XBRL, etc.).
  • Manage timely disclosures under SEBI LODR, SAST, PIT, and other applicable laws.
  • Coordinate with regulatory bodies such as MCA, IEPF, SEBI, Stock Exchanges, Depositories, and RTA.
  • Maintain Structured Digital Database (SDD) and oversee adherence to Insider Trading Regulations and trading window requirements.

3. Audits, Policies & Record Keeping

  • Provide documentation and support for internal, statutory, and secretarial audits; assist during RBI/SEBI inspections.
  • Draft and periodically review policies such as Whistleblower, Code of Conduct, and Related Party Transactions in line with legal requirements.
  • Maintain statutory registers, records, and books as per the Companies Act, SEBI LODR, SEBI PIT Regulations, and other applicable laws.
