Job Description

Key Responsibilities:

Mergers & Acquisitions (M&A):

Lead legal due diligence for proposed M&A transactions.
Draft, review, and negotiate term sheets, share purchase agreements (SPAs), shareholders agreements (SHAs), and other transaction documents.
Work with internal and external stakeholders (financial advisors, law firms, auditors) during deal execution.
Support post-merger integration and compliance requirements.

Private Equity (PE):

Advise on structuring and documentation of private equity investments and exits.
Draft and negotiate investment agreements, rights agreements, and related documents.
Ensure legal protection of company interests in funding rounds and strategic partnerships.
Liaise with investors, funds, and regulatory bodies as required.

Corporate Governance & Compliance:

Ensure all corporate transactions comply with applicable legal and regulatory frameworks.
Maintain updated records of corporate filings, board resolutions, and statutory registers.
Provide support on Companies Act, SEBI regulations, FEMA, FDI, and other applicable laws.

Risk Management & Advisory:

Identify and mitigate legal risks in proposed deals.
Advise management on deal structures, strategic partnerships, and dispute resolutions.
Monitor changes in laws and regulations affecting corporate transactions.
