Job Description

Handle end-to-end
Mergers & Acquisitions (M&A) transactions
, including drafting, negotiating, and reviewing definitive agreements.
Advise clients on
corporate restructuring, joint ventures, private equity, and other strategic transactions
.
Conduct
legal due diligence
, risk assessment, and prepare comprehensive reports.
Provide guidance on
Companies Act, FEMA, SEBI regulations
, and other relevant corporate laws.
Draft and vet commercial contracts such as
shareholder agreements, investment agreements, and business transfer agreements
.
Collaborate with internal teams and external stakeholders to ensure smooth transaction execution.
Represent the organization in negotiations and discussions with counterparties, investors, and advisory firms.
Ensure all documentation and processes comply with legal and regulatory frameworks.
Stay updated on legal developments in M&A, corporate governance, and regulatory compliance.
Demonstrate strong transaction skills
, including structuring, documentation, closing processes, and post-transaction compliance.

Candidate Profile

LLB/LLM from a reputable institution.
2-8 years of PQE
with a strong background in M&A and corporate advisory.
Mandatory experience working with
top-tier law firms
.
Strong expertise in drafting, negotiation, and legal research.
Strong
transaction skills
, with hands-on experience in deal structuring and execution.
Excellent understanding of corporate laws, regulatory processes, and transaction structuring.
Strong analytical abilities and attention to detail.
Ability to manage multiple transactions in a fast-paced environment.
Strong communication and stakeholder-management skills.
