What we are looking for: Commenda is looking to hire a motivated Company Secretary Trainee to assist in core operational processes to incorporate LLP and Private Limited companies in India. The ideal candidate is excited to work in a startup environment and is looking for a role with high upward mobility and opportunity for growth. Key Responsibilities Incorporation of Companies: Assist in drafting and filing documents for incorporation of private and LLP entities. Ensure compliance with statutory requirements during the incorporation process, including preparation of MOA, AOA, and other necessary documentation. Regular Secretarial Compliance: Support in maintaining statutory registers and records as required under the Companies Act, 2013. Assist in drafting and filing annual returns and other required forms with the MCA. Prepare resolutions, notices, and minutes for Board and shareholder meetings. Foreign Direct Investment (FDI): Help in preparing and filing necessary forms with the Reserve Bank of India (RBI) related to FDI, such as FCGPR and FCTRS. Ensure compliance with FEMA regulations regarding inward and outward foreign investments. Overseas Direct Investment (ODI): Assist in drafting and filing documents for setting up or investing in overseas entities. Support in ensuring adherence to RBI guidelines and documentation for ODI transactions. Requirements Educational Qualification: Pursuing Company Secretaryship (ICSI) and completed the Executive or Professional level or pursuing Graduation in Commerce/Business Administration. Skills Required: Knowledge of the Companies Act, 2013, FEMA regulations, and RBI compliance requirements for FDI and ODI. Strong drafting and research skills. Proficiency in MS Office and MCA/RBI online portals. Attention to detail and the ability to meet deadlines. Benefits Hands-on experience in incorporation, secretarial compliance, and FDI/ODI matters.
