Job Description

Role & responsibilities

Oversee company law & statutory compliance (ROC, MCA filings, Annual Returns)

Conduct and manage Board Meetings, AGM, EGM prepare notices, agendas, and minutes
Maintain statutory registers and company records
Handle filing of annual returns, forms & documents with MCA/ROC
Prepare Directors Report, Annual Report, and other compliance documents
Drafting / reviewing legal agreements, resolutions & contracts
Advisory support to Board of Directors on legal and governance matters
Liaison with auditors, lawyers, government bodies, banks, and stakeholders
Monitor corporate compliance calendar to ensure timely filings
Manage share allotment, transfer, and shareholder communication
Assist in mergers, acquisitions, due diligence, and restructuring activities

Required Skills

Strong knowledge of Company Law, Corporate Governance, Secretarial Standards & MCA portal
Excellent drafting, communication & analytical skills
Strong attention to detail and confidentiality
Good command of MS Office, Excel & documentation
Experience in manufacturing / textile sector preferred
