Job Description

Job Title: Company Secretary (Qualified CS)

Location: Noida

Role Overview-

The role involves supporting the Secretarial team in ensuring statutory compliance for the Bank and assisting in IPO preparation activities, including documentation, coordination, and regulatory filings.

Key Responsibilities-

A. Board & Committee Support

  • Support & Assist in preparing agenda, notices, minutes, resolutions, and board packs.
  • Maintain statutory registers and records in compliance with the Companies Act and Secretarial Standards.

B. Compliance & Filings

Prepare and file MCA forms, RBI filings, event-based compliances, and annual returns.

C. Corporate Governance

  • Ensure adherence to Secretarial Standards (SS-1, SS-2).
  • Support in conducting Annual General Meetings and shareholder communication.

D. Internal Coordination

  • Work with finance, HR, legal, and risk teams for timely data collection and compliance support.

Qualification & Skills

  • Qualified Company Secretary (ICSI).
  • 3-5 years of experience in a Bank, NBFC, or listed entity preferred.
  • Understanding of IPO processes, and corporate governance frameworks.
  • Good drafting, communication, and coordination skills.
