Associate – Company Secretary


This is an entry level position of a CS professional who can join immediately, either a fresher who has completed 21 months of training or someone with 1–2 years of post-training experience.

The salary budgeted for this role is INR 5.5 L -7 LPA.

Key Responsibilities and Accountabilities


1. Company Incorporation

  • Assist in the end-to-end incorporation of companies and LLPs, including name approval, drafting of MOA/AOA, and filing of incorporation forms with MCA.
  • Coordinate with stakeholders and ensure timely registration and documentation.


2. CDSL/NSDL Registration & ISIN Allotment

  • Coordinate with depositories and RTA to obtain ISIN for securities.
  • Prepare and submit documentation to CDSL for ISIN creation and dematerialization of shares.


3. Secretarial Records and Meetings

  • Draft notices, agendas, and minutes for Board Meetings, General Meetings, and Committee Meetings in compliance with Secretarial Standards.
  • Prepare and maintain statutory registers and records such as Register of Members, Directors, and Share Transfers.


4. ROC Filings & Statutory Compliance

  • Prepare and file statutory forms (MGT-7, AOC-4, PAS-3, DIR-12, etc.) with the Ministry of Corporate Affairs.
  • Track and ensure timely compliance with the Companies Act, 2013, FEMA, SEBI regulations, and other applicable laws.


5. ISIN-Related & Demat Compliance

  • Manage demat-related compliance and coordinate with RTA and depositories.
  • Maintain documentation for corporate actions such as share transfers, bonus issues, or buybacks.


6. Legal & Compliance Support

  • Draft and review shareholder agreements, resolutions, and other legal documents.
  • Assist in due diligence and documentation for fundraising, mergers, and corporate restructuring.


7. Liaison & Coordination

  • Liaise with government authorities, internal departments, and external professionals (CS, CA, and law firms).
  • Support the Company Secretary in all regulatory and governance activities.


Key Performance Indicators (KPIs)

  • Completion of company and LLP incorporations within MCA timelines.
  • High acceptance rate for incorporation applications with minimal rejections.
  • Accurate and timely processing of ISIN allotments and dematerialization documentation.
  • On-time circulation of meeting notices, agendas, and minutes.
  • Maintenance of statutory registers in compliance with Secretarial Standards.
  • Timely filing of ROC forms, avoiding penalties or late fees.
  • 100% compliance with Companies Act, FEMA, and SEBI regulations.
  • Error-free handling of demat compliance and corporate actions.


Qualifications & Experience

  • Education:

    Qualified or Semi-qualified Company Secretary (CS Executive/Professional).
  • Experience:

    1–3 years of experience in secretarial or compliance functions preferred.


  • Skills Required:

  • Sound knowledge of Companies Act, 2013, and Secretarial Standards.
  • Experience with MCA portal and ROC filings.
  • Good drafting, coordination, and communication skills.
  • Proficiency in MS Office and legal documentation.
