Job Description

Key Responsibilities

A. RBI & Regulatory Compliance

  • Ensure compliance with RBI Master Directions applicable to NBFCs, FEMA, and other regulatory frameworks.
  • Prepare and file statutory returns (DNBS-02, DNBS-04A/04B, DNBS-10, DNBS-13, FLA return, etc.) within timelines.
  • Upload CKYCR data and credit information to CICs (CIBIL, etc.) as per regulatory norms.
  • Monitor and implement circulars, guidelines, and amendments issued by RBI.
  • Coordinate with RBI, auditors, and consultants during inspections and audits.

B. Companies Act & Secretarial Functions

  • Ensure compliance with Companies Act, 2013 and Secretarial Standards (SS-1 & SS-2).
  • Organize and manage Board/Committee/General Meetings (drafting notices, agendas, minutes, and follow-ups).
  • Maintain statutory registers, records, and ensure timely MCA filings (RoC forms, resolutions, etc.).
  • Draft Board/Shareholder resolutions, support fundraising documentation, and due diligence exercises.

C. Corporate Governance & Compliance

  • Maintain registers of members, directors, charges, contracts, and disclosures.
  • Manage related party transactions, approvals, and disclosures.
  • Coordinate with statutory, secretarial, and internal auditors.
  • Support in compliance audits and internal reviews of governance processes.
  • Liaise with regulators, auditors, valuers, and legal advisors.

D. Advisory & Stakeholder Management

  • Provide secretarial and compliance support for new business initiatives, restructuring, or expansion.
  • Assist in drafting/vetting agreements and policies relevant to NBFC operations.
  • Handle investor relations, shareholder queries, and Board-level support.
  • Stay updated on changes in corporate law, RBI guidelines, fintech regulations, and implement required actions.

Desired Candidate Profile

- Education: Qualified Company Secretary (CS) ICSI.
- Experience: 2–5 years of post-qualification experience in NBFC / Fintech / BFSI sector. - Strong knowledge of Companies Act, RBI regulations, FEMA, and NBFC compliance. - Hands-on experience in regulatory filings, RBI returns, and MCA compliance. - Excellent drafting, governance, and stakeholder management skills. - High integrity, detail-oriented, and proactive in compliance management
