Role Description

This is a full-time on-site role for a Company Secretary Executive, located in Agra. The Company Secretary Executive will be responsible for managing company secretarial duties, ensuring compliance with statutory and regulatory requirements, and implementing policies established by the board of directors. Daily tasks include preparing and maintaining statutory records, coordinating and attending board meetings, drafting resolutions, and managing correspondence with regulatory authorities. Additionally, the role includes providing guidance on corporate governance, risk management, and adherence to legal norms.


Qualifications

  • Knowledge of company secretarial practices, corporate governance, and regulatory compliance
  • Experience in preparing and maintaining statutory records and drafting resolutions
  • Ability to organize and coordinate board meetings and liaise with regulatory authorities
  • Strong written and verbal communication skills
  • Detail-oriented with excellent organizational and time management skills
  • Bachelor's degree in Law, Business Administration, or a related field, along with a Company Secretary qualification
  • Ability to work on-site in Agra
  • Experience in the financial services industry is a plus



* Act, SEBI, RBI, FEMA, and other statutory requirements.

* File necessary returns, forms, and documents with MCA/ROC and other regulators.

* Maintain statutory registers, records, and minutes of board/committee/general meetings.

* Organize and manage Board Meetings, Committee Meetings, and Annual General Meetings (AGMs).

* Draft agenda, notices, resolutions, and minutes.

* Advise the Board on corporate governance practices, regulatory requirements, and legal implications.

* Implement strong governance frameworks and ensure ethical business practices.

* Advise directors on duties, responsibilities, and compliance obligations.

* Act as the custodian of company policies, charters, and compliance frameworks.

* Draft, vet, and review agreements, contracts, and MoUs.

* Liaise with external regulators, auditors, lawyers, and consultants.

* Handle legal documentation, due diligence, and secretarial audits.

* Assist in corporate restructuring, mergers, acquisitions, joint ventures, and fundraising activities.

* Monitor changes in legislation and advise on their impact.

* Support in preparation of annual reports and disclosures.
