Company Secretary cum Finance Executive

This dual role supports both company secretarial functions and financial operations. The ideal candidate will ensure compliance with statutory regulations, assist in board governance, and contribute to financial planning and reporting.

Company Secretary:

• Responsible for entire Corporate Secretarial compliances applicable to company, including but not limited to conducting board meetings, annual general meetings, drafting Minutes and Resolutions of Board and General Meetings, obtaining Directors’ DIN, DSC, compliances related to appointment/resignation of Directors and filing of all the Statutory Forms/Returns with ROC such as Directors Report, Annual return, XBRL filings, MSME return, DPT 3 and other event-based compliances.
• Maintain statutory registers and records (members, directors, and others applicable as per Co. Act) and implementation of policies under the Act e.g. POSH etc.
• Ensure fund raising compliances, if required, such as drafting Letter of offers, remittance of fund towards equity participation, liaising with RBI, NSDL, RTA, filing of FC-GPR, Demat of securities, FLA filing and other compliances.
• Advice on corporate governance and legal compliance and ensure the company is fully compliant with latest notifications/law.
• Support on obtaining required Licenses, product registration and other compliances under relevant acts e.g. Drugs and Cosmetics Act, CDSCO compliances, EPR, PNDT etc.
• Drafting and reviewing of legal documents, agreements etc.
• Liaise with regulators (MCA, SEBI, etc.) and external advisors.

Finance Executive:

• Assist in budgeting, forecasting, and financial analysis
• Support preparation of financial statements and MIS reports
• Coordinate with auditors during internal and statutory audits
• Monitor cash flow, accounts payable/receivable, and reconciliations
• Ensure compliance with tax regulations (GST, TDS, Income Tax)

Required Qualifications:

• Company Secretary membership with 5 – 8 years post qualification experience and graduate from commerce field.
• Experience in Multinational companies; preferably in healthcare sector.
• Strong communication skills (internal & external) in both Local language and English (speaking and writing)
