Company Secretary & Compliance Officer

Key Responsibilities of the Role:

  • Ensure adherence to sound corporate governance principles and applicable regulatory requirements.
  • Organize and manage Board and Committee meetings including drafting agendas, preparing and circulating meeting materials, recording minutes, and maintaining statutory records.
  • Assist with the formation of new entities (companies/LLPs) and monitor their ongoing compliance.
  • Stay updated on relevant laws and regulations impacting the real estate sector, including RERA, environmental laws, and local building codes.
  • Develop and implement internal compliance programs to ensure the organization meets all statutory and regulatory obligations.
  • Oversee secretarial filings, manage statutory registers, and ensure timely filings with the Ministry of Corporate Affairs (MCA).
  • Draft, review, and negotiate a variety of legal agreements, including: Lease and sale agreements, Joint venture agreements, Development and construction contracts, Shareholder and promoter agreements, NDAs, term sheets, deeds of conveyance, and bank guarantees
  • Ensure that all contracts safeguard the companys legal and commercial interests.
  • Provide strategic legal advice to internal departments on real estate transactions, property acquisition, zoning, and land use regulations.
  • Conduct legal due diligence on new projects and potential investments to assess and mitigate legal risks.
  • Support internal audits, management audits, and implementation of corporate governance frameworks.
  • Manage disputes and legal proceedings in coordination with external legal counsel.
  • Explore and recommend alternative dispute resolution (ADR) strategies for timely and cost- effective resolutions.
  • Advise on legal and procedural matters under FEMA regulations.
  • Handle filings and compliance under FEMA, including FCGPR, Annual Return on Foreign Assets and Liabilities, and liaising with authorized dealers and regulators for necessary approvals.
  • Conduct secretarial audits and issue certifications including Annual Return certification as required under the Companies Act.
  • Prepare annual reports, search/status reports, and assist with policy formation related to ethics, compliance, and corporate integrity.
  • Liaise with regulatory authorities, including ROC, SEBI, MCA, and other relevant government bodies.
  • Represent the company in legal and compliance discussions and ensure timely resolution of any regulatory issues.
  • Support in drafting and updating company policies and codes of conduct.
  • Carry out any other legal, secretarial, or compliance-related duties as assigned by the management.

Qualifications & Experience:

  • Qualified

    Company Secretary (CS)

    , preferably with a

    law degree (LLB)

    with 12 plus years of experience.
  • 6 to 10 years of experience in a similar role within the real estate or infrastructure sector.
  • Strong knowledge of

    Companies Act, RERA, FEMA, SEBI regulations,

    and applicable real estate laws.
  • Excellent drafting, negotiation, and communication skills.
