Job Description

We are looking for a highly skilled and experienced Company Secretary to join our team as an Assistant Manager (Secretarial) in Gurugram, JMD Galleria, Sec-48. The ideal candidate will have 0-5 years of experience.

Roles and Responsibility

Draft, vet, and negotiate various agreements including MOUs, term sheets, affidavits, power of attorneys, PO, tender documents, etc.
Provide legal advice on operational, financial, and administrative matters.
Liaise with internal stakeholders, external stakeholders, law firms, lawyers, consultants, advisors, bankers, statutory authorities, and external rating agencies.
Maintain documents, registers reports, and returns as per the Companies Act and other statutory acts.
Ensure compliance with SEBI (LODR) Regulations.
Assist senior management with secretarial matters and proactively drive compliance across all company domains.
Anticipate and highlight legal and compliance risks involved in business transactions.

Job Requirements

Sound knowledge of corporate laws, contract laws, industrial laws, foreign exchange laws, and tax laws.
Experience in handling and advising on legal issues related to operations, finance, administration, and channel partners.
Good communication skills with fluent English writing abilities.
Knowledge of dematerialization of shares and pledges of shares.
Proficiency in Microsoft Word/Excel is preferred.
Ability to work independently and collaboratively as part of a team.
A Bachelor's degree or Post Graduate Diploma is required.
