Role Description

Company Secretary

Qualifications

·      Qualified Company Secretary (ICSI)

·      5+ years of relevant post-qualification experience in a corporate or listed company

·      In-depth understanding of corporate laws, SEBI regulations, and compliance requirements

·      Strong written and verbal communication skills

·      Ability to maintain confidentiality and exercise discretion

·      Proficient in MS Office and secretarial software (e.g., MCA portal, XBRL, compliance tools)

Key Responsibilities:

·      Ensure compliance with Companies Act, SEBI (LODR), FEMA, RBI regulations, and other applicable laws

·      Manage all board and committee meetings: drafting agenda, issuing notices, preparing minutes, and maintaining statutory registers

·      Act as the point of contact between the company and regulatory bodies (e.g., MCA, SEBI, Stock Exchanges)

·      Handle filings and submissions with MCA, ROC, SEBI, and RBI (e.g., MGT-7, AOC-4, DIR-3 KYC, PAS-6)

·      Ensure timely disclosures and submissions as per SEBI Listing Obligations (if applicable)

·      Manage secretarial audits, corporate governance reporting, and internal policies

·      Maintain and update the company’s statutory books and records

·      Support mergers, acquisitions, and other strategic corporate actions

·      Liaise with external stakeholders including legal advisors, auditors, and consultants.
