Job Description

We are looking for experienced company secretaries in our team who shall be responsible for ensuring that the firm's clients comply with the provisions of the Companies Act, 2013 and other applicable corporate laws and also provide advisory on corporate governance and statutory matters as & when required.


Key Responsibilities:

  • Ensure compliance with the Companies Act, 2013 and other applicable statutory regulations.
  • Draft, review, and maintain statutory records, registers, and returns.
  • Prepare and file necessary forms and documents with the Registrar of Companies (RoC).
  • Organize, prepare agendas for, and conduct Board Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
  • Draft minutes of meetings and maintain proper records.
  • Advise the Board and management on corporate governance practices.
  • Draft and vet legal documents such as resolutions, shareholder agreements, and corporate policies.
  • Liaise with regulators and external legal advisors as required.
  • Assist in mergers, acquisitions, restructuring, and other corporate transactions.
  • Monitor changes in legislation and ensure timely updates to policies and procedures.


Key Skills & Competencies:

  • In-depth knowledge of the Companies Act, 2013 and corporate governance norms.
  • Strong drafting and legal documentation skills.
  • Excellent communication and presentation abilities.
  • Attention to detail and high standards of accuracy.
  • Ability to handle confidential information with integrity.


Qualifications & Experience:

  • Qualified Company Secretary (Member of the Institute of Company Secretaries of India – ICSI).
  • Minimum 2 years of experience in corporate law and compliance.
