VP – Company Secretary & Compliance | Chennai | Financial Services


We're looking for an experienced VP – Company Secretary & Compliance to lead compliance management across our Holdings and group companies.


The Role:

You'll oversee corporate governance, statutory compliance, and Board/Committee meetings while driving strategic initiatives including mergers, acquisitions, and fund raises. This position requires ensuring adherence to Companies Act 2013 and managing relationships with leadership teams, shareholders, and regulatory authorities.


Job Responsibilities:


All the activities listed below will be for the Holdings as well as the group companies, as applicable

  1. Drafting of agenda, minutes for Board Meetings and Committee meetings, notice and explanatory statements of General meetings, circular resolutions.
  2. Compliance of all company related laws such as Companies Act, 2013 and all other allied laws that may be applicable to the Company.
  3. Conducting of Board, Committee and general meetings
  4. Issue of securities, debt, availing loan, etc. as per the provisions of the Companies Act, 2013
  5. Preparation and maintenance of statutory registers
  6. Managing compliances of Debt covenants for group and the group Companies
  7. Managing compliances with respect to Equity funding and in compliance with the terms and conditions of Shareholders Agreement for group Companies
  8. Support to Due Diligence for fund raise as well as Strategic activities like mergers, demerger, amalgamation, etc.
  9. Close interaction with cross functional teams with respect to the business activities, new business initiatives, product line etc.
  10. Drafting of relevant policies and agreements as may be required under the relevant laws.
  11. Any other compliance activities based on the regulatory requirements as per the initiatives undertaken by the group Companies and applicability of relevant Laws.
  12. Must be conversant with e-filing and in handling the website of the Ministry of Corporate Affairs
  13. Must keep abreast with the latest regulatory changes/requirements and adhere to such requirements including interaction with regulators as may be required.
  14. Interaction with Internal and Statutory Auditors



What You Bring:

  • Company Secretary (CS) with valid membership number
  • 10+ years of compliance experience in Financial Services
  • Strong expertise in company law, corporate transactions, and risk management
  • Excellent stakeholder management and strategic thinking abilities
