Senior Corporate Lawyer

Role Overview: As a Senior Corporate Lawyer in our General Corporate practice in Mumbai, you will be a key player in managing high-value domestic and cross-border transactions across various sectors, focusing on technology, media & entertainment, consumer, and financial services. Your expertise in Mergers & Acquisitions (M&A), Private Equity (PE), Venture Capital (VC), joint ventures, corporate structuring, and strategic advisory will be crucial for the team's success. Key Responsibilities: - Lead and execute end-to-end M&A, PE/VC, and joint venture transactions, including Share Purchase Agreements (SPA), Shareholders Agreements (SHA), Investment Agreements, Business Transfer Agreements, and Due Diligence Reporting - Advise clients on corporate governance, board advisory, regulatory approvals, and FEMA/FDI compliance - Negotiate complex commercial arrangements with multiple stakeholders such as promoters, financial sponsors, and strategics - Provide legal support to media & entertainment clients on content licensing, talent agreements, production deals, and IP structuring - Represent and advise private equity funds, venture capital investors, and portfolio companies throughout the investment lifecycle - Collaborate with tax advisors, financial consultants, and international counsel for structuring and regulatory alignment - Stay updated on legal and regulatory developments affecting corporate law, FDI, startups, digital media, and financial markets Qualification Required: - LL.B. / LL.M. from a reputed law school in India or abroad - Minimum 15 years of post-qualification experience in general corporate law, specializing in M&A and private equity - Extensive experience in advising on shareholding structures, investment exits, ESOPs, and control rights - Proven track record in handling cross-border deals, coordinating with foreign counsel, and global stakeholders - Sound knowledge of Companies Act, FEMA, SEBI regulations, Competition Act, and IP laws related to media & entertainment transactions - Exceptional skills in drafting, negotiation, and stakeholder management - Strong leadership qualities to mentor junior lawyers and lead transaction teams - Commercial mindset aligning legal advice with business objectives Additional Company Details: The company offers you the opportunity to lead and close market-defining transactions across high-growth sectors, work in a collaborative and entrepreneurial team environment, competitive remuneration, and a clear path for leadership growth.
