Job Purpose

• To handle all the legal matters for the Exchange, including litigation and non-litigation matters as per the instructions & directions of Head Legal.

Key Result Areas

• Drafting/Vetting, negotiation, renewal, execution, extension of various Contracts relating to all the departments. Identifying legal and contractual risk in the given Contract/document and mitigating that risk.
• Drafting and vetting of the various Contracts relating to group companies (NICR & Ors.) and provide assistance with respect to the processes, policies, agreements, etc
• Drafting/Vetting of Undertaking, Declaration, Disclaimers, and POAs. Authorisations, Forms (KYC Documents), Letter, SOP's Product Notes, IOM's circulars etc., to check and foresee the legal implications, implication of government orders viz. control orders, stock limits etc., provisions of Food Safety Act, etc. and advice accordingly.
• Provide necessary support to the internal department for making a policy, support and assistance within the ambit of Regulatory directions.
• Drafting and vetting of Rules, Bye Laws and Regulations for NCDEX and ensuring their publication in Gazette of India and State Gazette.
• Advising of registration of IPR & their respective renewal.
• Ensuring registration of IPRs as well MIS of IPRs.
• Applications to the Registry.
• Engaging Counsels to represent in case of objections.
• Pursuing any contentious and non-contentious matters with regard to intellectual property rights
• To monitor the changes in Legal framework and related legislations which have a bearing and impact on the Business of the Company and to provide advise wherever solicited.
• Handle communication and attend meeting with internal and external stakeholders and provide advice and assistance also pertaining to legal issues and settle the same.
• Monthly activity includes:

a) preparation, updating & circulation of Legal MIS

b) Provision of Legal Expenses

c) SEBI status report with respect to legal cases

• Providing legal status with respect to the NOC to be issued to Member.
• Providing RMC Data as and when asked for.
• To pursue and assist seniors in handling of various litigations in order to mitigate risks against the Exchange. In course of pursuing such mattes, engage counsel and assist in drafting, vetting and filing of pleadings in various litigations.
• To prepare and maintain MIS report on Litigation matters and forward the same to the Head of Department on monthly basis.
• To research for the case laws, notifications, etc., on legal issues confronted in litigations
• Regular liaising with Regulatory/Statutory Authorities/Law Enforcement Agencies, personal visits and/or regular communications, making necessary representations and submissions to them as and when required. Replying to the Notices received from various Statutory Authorities.
• Compliance of Statutory & Regulatory directives by ensuring execution & compliance as per existing SOP set & regulatory mandates and by initiating disciplinary proceedings wherever required.
• Conduct and facilitate training research & development.
• Keeping track of Latest updates Notifications, circulars etc.

Skills Required
