Job Summary


Corporate Secretary


Responsibilities


  • Corporate Secretarial Duties:

    Preparing materials for board meetings, CSR committee meetings, and handling other corporate governance matters.
  • Compliance:

  • Responsible for all company secretarial functions under the

    Companies Act

    .
  • Ensure compliance with guidelines and regulations pertaining to

    Company Law, FEMA

    , and other Corporate Legislations.
  • Monitor Corporate Governance norms, applicable provisions of the Companies Act, etc.
  • Risk & Auditing:

  • Conduct Company Law Due Diligence and establish systems for compliance.
  • Research and evaluate different risk factors regarding business decisions and operations.
  • Specify internal governance policies and regularly monitor compliance.
  • Regularly audit company procedures, practices, and documents to identify possible weaknesses or risks.
  • Create and manage effective action plans in response to audit discoveries and compliance violations.
  • Advisory & Litigation:

  • Provide timely and commercially sound guidance and advice to management on all regulatory matters in India.
  • Monitor changes in relevant legislation and the regulatory environment and take appropriate action.
  • Assist internal stakeholders and coordinate with outside counsel on litigation and employee disputes.
  • Follow up and counsel concerned parties to ensure prompt action on legal matters.
  • General Legal Support:

    Reviewing commercial and legal agreements, including NDAs and vendor/commercial contracts, and other tasks to support the legal department as needed.


Requirements


  • Education & Experience:

  • Qualified Company Secretary

    and

    LLB

    degree.
  • 2–5 years of experience

    from a law firm or another multinational technology company.
  • Skills & Attributes:

  • Proactive, result-oriented, with

    excellent communication skills

    .
  • Strong attention to detail and a commitment to confidentiality.
  • Relevant experience in the field of

    Secretarial Legal, FEMA

    , etc.
  • Preferred Experience:

  • Experience with

    Software as a Service (SaaS)

    , especially in the field of

    financial technology (FinTech)

    .
  • Experience with

    U.S. and Indian contract law
