Role Overview

Key Responsibilities

• Compliance Management Ensure compliance under the Companies Act, SEBI regulations, and MCA filings
• Prepare and submit statutory documents to RoC, SEBI, and other regulatory authorities
• Monitor regulatory updates and assist in implementing necessary changes
• Corporate Governance Organize board, committee, and AGM meetings; prepare notices, agendas, and minutes
• Maintain accurate board resolutions, compliance reports, and statutory records
• Support in implementing corporate governance policies across the organization
• Record Keeping & Documentation Maintain statutory registers (e g , share register, director register) and other required corporate records
• Ensure proper safekeeping and timely updating of corporate documents in line with Indian legal requirements
• Liaison with Authorities Interface with RoC, SEBI, and government bodies on compliance matters
• Respond to regulatory queries and assist in resolving compliance issues
• Legal Research & Drafting
• Conduct research on Indian corporate laws and regulatory updates
• Draft and review agreements, MoUs, contracts, and company resolutions
• Assist in due diligence for mergers, acquisitions, or restructuring projects
• Training & Awareness
• Conduct internal sessions on compliance and governance best practices
• Promote a culture of corporate compliance across teams
• Support to Senior Management
• Assist senior company secretaries in document preparation, filings, and policy drafting
• Manage communication with shareholders, directors, and other stakeholders
