Job Description

The successful candidate for the Company Secretary position will be responsible for ensuring the organization's compliance with statutory and regulatory requirements. You will collaborate closely with the Board of Directors, legal team, and regulatory teams to maintain the highest standards of corporate governance, compliance, and ethics. Your key responsibilities will include drafting agendas, notices, and minutes for Board, Committee, and Shareholders meetings. You will also handle Board approvals via circular resolutions for critical matters requiring authorization and maintain statutory registers, records, and corporate governance documentation. In terms of corporate compliance, you will be tasked with ensuring adherence to the Companies Act, 2013, SEBI (LODR) Regulations, SEBI (PIT) Regulations, and other applicable laws. Additionally, you will be responsible for timely filings with ROC, NSE, and other regulatory bodies, as well as designing and implementing compliance calendars, processes, and checklists. Your role will also involve facilitating fund-raising activities, monitoring corporate governance principles, and ensuring the highest ethical standards. You will act as a liaison with regulatory bodies such as SEBI, NSE, and other authorities, addressing company affairs and secretarial matters. Furthermore, you will draft and monitor compliance processes and frameworks, summarize regulatory updates, and ensure timely communication to stakeholders. You will also assist in the implementation and audit of financial and IT control processes and collaborate with finance teams to address compliance and reporting issues. Additionally, you will work on legal agreements by drafting and reviewing them. The ideal candidate will be a Qualified Company Secretary (CS) with at least 7 years of post-qualification experience, including a minimum of 5 years in a public listed company. You should have strong expertise in corporate laws such as the Companies Act and SEBI Regulations, as well as a basic legal understanding to address compliance and governance matters. Key skills for this role include high ethical standards and integrity, excellent drafting and documentation skills, strong organizational and interpersonal abilities, and a result-oriented approach with ownership of outcomes. Preferred attributes include experience with end-to-end compliance processes, the ability to work with cross-functional teams and external regulatory bodies, and proficiency in managing secretarial activities related to fund-raising, ESOP management, and corporate filings.,
