Fund Accounting, Compliance and Investor Relations

Role Overview

fund accounting, regulatory compliance, governance, investor relations, and coordination with regulatory bodies

Key Responsibilities

1. Regulatory Compliance & Fund Governance

• Ensure adherence to

  SEBI AIF Regulations, RBI/FEMA guidelines, and applicable taxation laws

  .
• Oversee fund accounting, preparation of financial statements, mirror accounting in Tally, audit support, and calculation of management/setup/operational fees.
• Manage documentation, regulatory filings, and submissions including FATCA, TDS workings, Form 64C, SEBI PPM audit, RBI FLA reporting, Form Invi, OPI filings, GST and other periodic compliance requirements.
• Maintain investor communication and updates.
• Coordinate with external legal counsel, auditors, and consultants for audits, tax filings, and compliance reviews.
• Maintain

  KYC, AML, and FATCA

  compliance for fund and investors.
• Ensure robust governance framework for Investment Committees, LP meetings, and board discussions.

2. Investor Relations & Fundraising Support

• Manage relationships with

  Limited Partners (LPs), institutional investors, and family offices

  .
• Ensure timely investor reporting, fund performance communication, and mandatory disclosures.
• Support fundraising activities including investor due diligence, presentation preparation, and data room management.
• Manage

  investor onboarding, subscriptions, redemptions, and capital calls

  .

3. Fund Operations & Risk Management

• Oversee fund administration,

  NAV computation

  , financial reporting, and coordination with fund administrators.
• Monitor fund-level risks, regulatory developments, and internal control frameworks.
  

4. Coordination with External Stakeholders

• Liaise with

  SEBI, RBI

  , fund administrators, auditors, legal advisors, and tax consultants.
• Ensure fund documentation aligns with global best practices and regulatory expectations.
• Act as the primary compliance officer during investor negotiations and regulatory filings.
  

5. SEBI, FEMA & Taxation Oversight

• Lead SEBI inspections, compliance reporting, and regulatory audits.
• Ensure FEMA compliance for cross-border transactions and foreign investors.
• Monitor tax implications impacting funds, investors, and investment structures.
  

Required Qualifications & Experience

• CA / CS / LLB

  with experience in Venture Capital, Private Equity, AIFs, or Fund Management.

• 25 years of experience

  in fund accounting, regulatory compliance, governance, or fund administration.
• Preferably experience with firms such as

  Nuvama, Orbis, KFintech, CAMS, Vistra

  , or similar fund service organizations.
• Strong understanding of

  SEBI AIF Regulations, RBI guidelines, FEMA, international fund structures

  .
• Prior experience in investor relations, LP reporting, and governance frameworks.
