Role & Responsibilities:

1. Corporate Governance and Compliance

• Ensuring compliance with statutory and regulatory requirements under the Companies Act and other applicable laws
• Advising the board on governance best practices
• Filing annual returns, financial statements, and other statutory forms with the Registrar of Companies (RoC)
• Monitoring changes in relevant legislation and regulatory environments

2. Board and Shareholder Meetings

• Organizing and preparing notices, agendas, and minutes for board and general meetings
• Maintaining statutory registers and records like the register of members, charges, directors, etc.
• Ensuring timely and accurate communication with shareholders

3. Legal and Contractual Advisory

• Drafting, reviewing, and managing legal contracts, agreements, and other documents
• Advising the company on mergers, acquisitions, and corporate restructuring
• Handling intellectual property registrations and disputes
• Assisting in drafting and implementing company policies

4. Financial Management and Reporting

• Collaborating with the finance team on matters related to dividends, tax, and other financial compliances

5. Stakeholder Communication

• Acting as a liaison between the board of directors, shareholders, regulatory authorities, and other stakeholders
• Addressing investor grievances and ensuring smooth communication with shareholders

6. Risk Management

• Identifying legal and regulatory risks and implementing measures to mitigate them.
