The company provides end to end solutions from design and engineering, project management as well as post sales services for solar projects. We have installed solar power plants through pay and own (CAPEX) and pay as you go (OPEX) models for our clients across India, as well as in international projects in Sri Lanka and Nepal. About the Role:

We are looking for a Company Secretary to manage corporate governance, accounting compliance, and regulatory affairs in a dynamic mid-sized solar company. This role combines secretarial responsibilities with legal and compliance functions, providing an excellent opportunity for professionals with expertise in corporate secretarial work, legal compliance, and statutory filings. Key Responsibilities:

Company Secretarial & Compliance:

• Ensure compliance with the Companies Act, 2013 and corporate governance regulations.
• Manage Registrar of Companies (RoC) filings, annual returns, board resolutions, and statutory registers.
• Organize and record minutes for Board Meetings, General Meetings, and Committee Meetings.
• Draft, review, and manage corporate policies, agreements, and contracts.

Legal & Regulatory Compliance:

• Oversee compliance with corporate laws, SEBI regulations, and other statutory obligations.
• Draft, vet, and review agreements, contracts, MoUs, and legal documents related to business operations.
• Act as a point of contact for regulatory bodies, auditors, and legal consultants on compliance matters.
• Assist in drafting, reviewing, and finalizing contracts, including power purchase agreements, purchase orders, and vendor contracts.
• Conduct due diligence on legal documents to ensure compliance with applicable laws and regulations.
• Support contract negotiations to secure favourable terms for the company.
• Coordinate with external legal counsel when required.

Risk & Corporate Governance:

• Monitor and ensure adherence to tax, labour laws, and environmental regulations.
• Identify legal risks and recommend mitigation strategies.
• Keep the leadership team informed about legal and regulatory updates.
• Stay updated on legal and regulatory developments in the renewable energy sector and advise management on compliance requirements.
• Maintain a well-organized documentation system for all legal and compliance-related documents, both digital and physical.

Knowledge, Skills & Abilities:

• Strong knowledge of corporate laws, SEBI regulations, contract law, and compliance frameworks.
• Excellent legal drafting, contract negotiation, and compliance management skills.
• High attention to detail, problem-solving ability, and stakeholder management.
• Ability to work in a fast-paced and growing organization.
• Strong verbal and written communication skills in English.
• Proficiency in legal research and documentation management.

Software Tools:

• MCA Portal for RoC filings and corporate compliance.
• Microsoft Office Suite including Word, Excel, and PowerPoint.
• Legal research databases.

Educational Qualifications:

• Company Secretary (CS) qualification from the Institute of Company Secretaries of India (ICSI) is mandatory.

Work Experience:

• Minimum 3-5 years of experience in company secretarial, legal, and compliance roles.
• Experience in corporate governance, RoC filings, legal documentation, and regulatory compliance.
• Prior experience handling board meetings, contract vetting, and compliance audits.

Job Types: Full-time, Permanent

Pay: ₹800,000.00 - ₹1,200,000.00 per year
