Currently we are hiring Company Secretary for NBFC Industry.

Role: Company Secretary

Location: Mumbai

Qualification: post qualification 4-9 Years

Job Responsibilities:

Compliance:

• Ensure full compliance with applicable laws and regulations, including the Companies Act, SEBI regulations, and other statutory requirements.
• Monitor and ensure adherence to listing regulations and legal obligations.

Corporate Governance:

• Advise the Board of Directors on their legal responsibilities, duties, and powers.
• Promote and uphold high standards of corporate governance within the organization.

Secretarial Functions:

• Maintain statutory registers and records as per legal requirements.
• Handle all compliances and filings with the Registrar of Companies (ROC).

Board and Committee Support:

• Prepare notices, agendas, and minutes for Board and committee meetings.
• Facilitate the smooth conduct of Board and shareholder meetings.

Regulatory Filings:

• Draft, prepare, and file statutory documents, annual returns, and reports with regulatory bodies such as ROC and SEBI.

Stakeholder Communication:

• Act as a point of contact for shareholders, regulators, and other stakeholders concerning company affairs.

Listing Compliance:

• Ensure compliance with SEBI (LODR) Regulations and all listing obligations.
• Oversee the issuance and listing of Debentures and Commercial Papers.

Other Duties:

• Perform any additional secretarial and compliance duties as may be assigned from time to time.
