Company Secretary (CS)

Key Responsibilities:

  • Ensure compliance with all applicable corporate laws and regulations (Companies Act, SEBI, FEMA, etc.).
  • Organize and coordinate Board Meetings, General Meetings (AGM/EGM), and Committee Meetings.
  • Draft minutes, agendas, resolutions, and notices for meetings.
  • Maintain and update statutory registers, records, and filings with ROC/MCA.
  • Prepare and file necessary forms, returns, and documents with regulatory authorities.
  • Act as a liaison between the Board of Directors and regulatory/government authorities.
  • Ensure good corporate governance practices and assist in drafting company policies.
  • Handle share transfers, issue of share certificates, and related secretarial activities.
  • Coordinate with legal and compliance departments as needed.

Requirements:

  • Qualified Company Secretary (ICSI).
  • Minimum 2 years of post-qualification experience in a similar role.
  • Sound knowledge of Companies Act, SEBI, FEMA, and corporate governance practices.
  • Excellent drafting, communication, and organizational skills.
  • Ability to work independently and manage multiple priorities.
  • Proficiency in MS Office and compliance software/tools.
