Role Description

The Company Secretary will play a pivotal role in ensuring robust corporate governance, regulatory compliance, and efficient board administration for the organization. The position requires a qualified Company Secretary with a strong command of company and securities law, experience working with listed entities, and the ability to independently manage statutory responsibilities. The ideal candidate will be proactive, detail-oriented, and capable of working under pressure in a fast-paced environment while maintaining the highest level of confidentiality and professionalism


Key Responsibilities:

  • Meetings

    – Convening of Board, Committee and shareholders' meetings / postal ballots, prepare agendas, information, minutes and manage all related correspondence.
  • Regulatory

    – Maintain all statutory registers, e-forms with MCA (V3), periodical compliances with BSE Ltd. preparation of Annual Report in a timely and accurate manner; Website updating.
  • Shareholder Management

    – Manage shareholder communications, handle share transfers and dividend payments.
  • IEPF

    : All compliances related to unpaid dividend.
  • All ESOPs

    related compliances.
  • Debentures

    – All compliances related to Non-Convertible Debentures and Trustees.
  • Corporate Restructuring

    - provide advice to the board and management on Corporate Restructuring and its governance, legal compliance and ensure all legal procedures are followed.
  • Coordination

    with RTA and Depositories for corporate actions, disclosures, ISINs, trading window, SDD etc.
  • Liaising

    with regulatory authorities- ROC, BSE Ltd, SEBI, external advisors,auditors.
  • Monitor

    changes in legal and regulatory frameworks and provide timely updates and actionable insights to seniors.


Qualification:

  • Qualified

    Company Secretary (ACS/FCS)

    with membership of the Institute of Company Secretaries of India (ICSI).
  • Bachelor’s degree in

    Law (LLB)

    or a related field is preferred.


Preferred Candidate:

  • Minimum 5+ years of experience as a Company Secretary in a listed entity.
  • Strong understanding of Company Law, Securities Law, Corporate Governance, and compliance frameworks.
  • Excellent drafting skills, command over language, and crisp communication abilities.
  • Highly proactive, organized, and capable of working under pressure.
  • Ability to work independently and handle confidential information with discretion.
