You are invited to apply for the role of Secretarial & Legal Associate at Octagona India, a company specializing in providing services to foreign companies with subsidiaries in India. As a Secretarial & Legal Associate, you will be responsible for ensuring compliance with regulatory requirements and providing legal support to clients. To be considered for this position, you must be a Member of the Institute of Company Secretaries of India (ICSI) and preferably hold a Bachelor's degree in Law (LLB). The ideal candidate will have 2-4 years of experience post-qualification, working as a company secretary or lawyer in a management consultancy company or a company secretary/legal firm. Key responsibilities include: - Demonstrating sound knowledge of Companies Act, FEMA, and RBI compliance. - Handling filing of ROC forms and returns, maintaining statutory books, registers, and records under the Companies Act. - Preparing minutes of meetings and managing various secretarial functions such as incorporation of companies, ROC and FEMA compliances. - Liaising with RBI, MCA, and drafting representations to be filed with external agencies. - Familiarity with External Commercial Borrowings (ECB) and return filing. - Understanding of Liquidation and Fast Track Exit (FTE) procedures. - Proficiency in using XBRL software. In terms of legal competencies, the role involves: - Conducting legal analysis and research on legal and due diligence subjects. - Drafting, editing, vetting, and finalizing legal contracts. - Reviewing legal material and monitoring the implementation of legal clauses. This is a full-time position with a day shift schedule. The successful candidate must have at least 3 years of experience as a Company Secretary and possess a Company Secretary license/certification. The work location is in person.
