Key Responsibilities:

1. Statutory Compliance & Governance

  • Ensure full compliance with the

    Companies Act, 2013

    and other applicable corporate laws.
  • Maintain all

    statutory registers, records

    , and ensure timely

    filings with MCA/ROC

  • Draft, review, and file

    resolutions, returns, and statutory forms

    as required under law.
  • Support management in adhering to corporate governance and statutory best practices.

2. Board & Committee Meetings

  • Plan, schedule, and organize

    Board Meetings, Annual General Meetings (AGMs)

    , and

    Extraordinary General Meetings (EGMs)

    .
  • Prepare and circulate

    agendas, notices, and minutes

    for Board and Committee meetings.
  • Ensure that all

    Board decisions and resolutions

    are accurately recorded, approved, and implemented.

3. Legal & Contract Management

  • Draft, vet, and review

    contracts, agreements, and MoUs

    related to construction and business operations.
  • Coordinate with

    external legal counsel

    for handling

    litigation, arbitration, and dispute resolution

    .
  • Support management with

    legal risk assessment

    and maintain proper documentation.

4. Corporate Governance

  • Advise the Board and management on

    best governance practices

    and compliance requirements.
  • Stay updated on

    amendments in corporate and securities laws

    , and implement necessary process changes.
  • Facilitate

    Board evaluation

    , policy implementation, and compliance monitoring.

5. Liaison & Coordination

  • Act as the key liaison with

    regulatory authorities

    such as MCA, SEBI (if applicable), RERA, and other statutory bodies.
  • Coordinate with

    auditors, consultants

    , and internal stakeholders for governance, audit, and compliance matters.
  • Support

    cross-functional coordination

    to ensure smooth governance operations across departments.

Qualifications & Experience

  • Education:

    Qualified

    Company Secretary (CS)

    from the

    Institute of Company Secretaries of India (ICSI)

    .
  • Experience:

    810 years of post-qualification experience in

    corporate secretarial

    ,

    legal

    , and

    compliance

    functions, preferably in

    infrastructure, construction, or EPC

    sectors.
  • Knowledge:

    Strong understanding of

    Companies Act, SEBI regulations, RERA, and Contract Law

    .
  • Skills:

    Excellent drafting, communication, and organizational skills; attention to detail; and the ability to handle multiple compliance requirements.
