Job Title: Company Secretary (CS)

Location: Gandhinagar - Gift City

Job Overview

Key Responsibilities

• Ensure compliance with provisions of the Companies Act, 2013, SEBI (LODR) Regulations, and other statutory requirements applicable to listed companies.
• Prepare, review, and file necessary returns, forms, and documents with MCA, SEBI, NSE/BSE, and other regulatory authorities.
• Handle Board Meetings, Committee Meetings, and General Meetings including drafting of agenda, notices, minutes, and resolutions.
• Guide the management on matters relating to Company Secretary dividend declaration, bonus issue, rights issue, buyback, and other corporate actions.
• Manage shareholder communication, respond to queries/complaints, and liaise with RTA (Registrar & Transfer Agent).
• Maintain statutory registers, records, and ensure proper documentation as per law.
• Support management in corporate governance practices and ensure timely disclosures.
• Coordinate with auditors, regulators, stock exchange, and other stakeholders.
  

Key Requirements

• Qualified Company Secretary (ACS/FCS) with membership of ICSI.
• Minimum 3+ years of experience in handling listed company compliances.
• Strong knowledge of Companies Act, SEBI Regulations, FEMA, and corporate governance practices.
• Excellent drafting, communication, and stakeholder management skills.
• Ability to independently handle shareholder queries and regulatory matters.
