Company Secretary

1. Corporate Governance

Ensure compliance with corporate governance standards

· Advise the Board on:

· Legal obligations

· Ethical practices

· Corporate policies

· Support effective decision-making by the Board and committees

· Act as a link between management, Board, shareholders, and regulators

2. Statutory & Regulatory Compliance

Ensure compliance with:

· Companies Act

· Securities laws

· Stock exchange regulations (for listed companies)

· FEMA, SEBI, RBI, and other regulatory bodies

· File statutory returns, reports, and disclosures within deadlines

· Maintain statutory registers and records

3. Board & Committee Management

Prepare agendas and notes for:

· Board meetings

· Committee meetings

· General meetings

· Draft and maintain:

· Minutes of meetings

· Resolutions

· Ensure meetings are conducted as per legal requirements

4. Shareholder & Investor Relations

· Handle shareholder communications

· Organize:

§ Annual General Meetings (AGMs)

§ Extraordinary General Meetings (EGMs)

§ Manage dividend declarations, share transfers, and investor grievances

§ Ensure transparency and timely disclosures to stakeholders

5. Legal & Advisory Functions

· Interpret and advise on:

Ø Corporate laws

Ø Contracts

Ø Corporate restructuring (mergers, demergers, acquisitions)

· Coordinate with:

Ø Lawyers

Ø Auditors

Ø Regulators

· Assist in drafting legal documents, agreements, and policies

6. Corporate Restructuring & Secretarial Audits

· Handle:

Ø Incorporation of companies

Ø Winding up

Ø Change in capital structure

Ø Conduct or coordinate secretarial audits

Ø Support IPOs, rights issues, and other capital-raising activities

7. Risk Management & Compliance Monitoring

· Identify compliance risks

· Implement internal compliance systems

· Ensure adherence to internal policies and codes of conduct

Job Type: Full-time

Pay: ₹75,000.00 - ₹85,000.00 per month
