AGM – Company Secretary

Required experience :- 10 -15 years

LLB + CS with 10 Yrs of experience , working in Listed Manufacturing Company (Compulsory) with handling 6-7 subsidiary companies.

Required:

• Minimum of 10 years of experience in a company secretarial role, with at least 5 years in a senior leadership position, preferably within the chemical manufacturing industry or a similar sector

The successful candidate will be responsible for ensuring the company complies with statutory and regulatory requirements, managing corporate governance practices, and providing strategic advice to the Board of Directors and senior management.

• Provide strategic advice to the Board and senior management on corporate governance, regulatory compliance, and other legal matters. Contribute to strategic planning and decision-making processes.
• Identify and assess compliance risks and develop strategies to mitigate these risks. Ensure the implementation of robust internal controls and risk management practices.
• Manage shareholder communications and relations. Ensure timely and accurate dissemination of information to shareholders, including notices of meetings, annual reports, and dividend payments.
• Organize and manage Board of Directors meetings, including preparing agendas, compiling and distributing board papers, and taking minutes. Advise the Board on corporate governance matters and ensure effective communication between the Board and management.

The above mentioned role is with a client of Classic Search , an unlisted entity , in the chemical manufacturing industry .
