1. Statutory & Regulatory Compliance Ensure compliance with the Companies Act, 2013 , and other applicable laws. Prepare, file, and maintain statutory forms, returns, and documents with ROC, MCA, SEBI , etc. Maintain and update statutory registers, minutes books, and company records. Ensure timely filing of Annual Returns, Financial Statements, and Board Resolutions . 2. Board & Shareholder Meetings Organize and manage Board Meetings, Committee Meetings, and General Meetings (AGM/EGM). Prepare and circulate notices, agendas, and minutes of meetings. Advise the Board on legal and procedural matters before and during meetings. 3. Corporate Governance Implement and monitor effective corporate governance practices. Ensure compliance with Board policies, codes of conduct, and corporate disclosures . Liaise with directors, auditors, and regulators to ensure transparency and accountability. 4. Legal & Secretarial Advisory Draft and vet agreements, resolutions, and legal documents . Provide guidance on corporate structuring, mergers, acquisitions, and investments. Handle share transfers, issue/allotment of shares, and capital restructuring . 5. Liaison & Coordination Act as a link between management, shareholders, regulators, and government authorities. Coordinate with ROC, MCA, RBI, SEBI, Stock Exchanges, and other statutory bodies . Assist auditors, consultants, and lawyers in statutory or legal matters. 6. Blending & Bottling Operations Prepare and execute blending as per the approved formula and standard operating procedures (SOPs). Measure and mix spirits, water, and other ingredients in accurate proportions. Maintain records of blending batches, raw material usage, and yields. Monitor blending tanks for temperature, density, and alcohol strength (as per specifications). Operate and monitor bottling line equipment such as filling machines, capping machines, labeling, and packaging units. Ensure bottles are filled to correct volume and sealed properly. Check labels, caps, and packaging for quality compliance. Coordinate with the maintenance team for any machine breakdowns or adjustments. Ensure all blending and bottling activities comply with excise, safety, and company regulations. Take regular samples for lab testing (strength, flavor, and appearance). Follow hygiene and safety standards in production areas. Maintain batch traceability and documentation for excise and audit purposes. Monitor and record the use of spirit, flavoring, and packaging materials. Assist in physical stock verification and reconciliation.
