Job Description

Role & responsibilities

To lead the company's secretarial and compliance function, ensuring all regulatory and governance standards are met, with a special focus on IPO execution and managing obligations of a listed entity.

Key Responsibilities:

1. IPO & Listing Experience:

End-to-end execution of Initial Public Offering (IPO), including:

Appointment and coordination with merchant bankers, legal advisors, registrars, auditors, etc.

Drafting and vetting of DRHP/RHP with SEBI, NSE/BSE, and other regulatory authorities.

Compliance with Companies Act, SEBI ICDR Regulations, Listing Obligations (LODR), etc.

Handling due diligence and coordinating with internal/external stakeholders for smooth execution.

Ensuring adherence to timelines and disclosure norms throughout the IPO process.

2. Post-IPO / Listed Company Compliance:

Ensure timely compliance with all SEBI, Stock Exchange, and Companies Act obligations.

Drafting and filing of disclosures under LODR, Insider Trading, Takeover Code, and SAST Regulations.

Managing Investor Relations in coordination with Finance and PR teams.

Convening and conducting Board, Committee, and General Meetings.

Maintenance of statutory registers, records, and filings (MGT-7, AOC-4, etc.)

3. Corporate Governance:

Advise the Board on good governance practices and compliance of Corporate Governance norms.

Draft and review Board policies, charters, and corporate governance reports.

Ensure compliance with ESG, CSR, and sustainability-related disclosures, if applicable.

4. Legal & Secretarial:

Handle ROC filings, DIN/KYC compliance, XBRL submissions, etc.

Liaison with MCA, SEBI, NSE/BSE, NSDL/CDSL, and other regulatory authorities.

Assist in drafting key agreements, resolutions, minutes, and reports.

5. Risk & Ethics:

Monitor changes in relevant legislation and regulatory environment.

Maintain companys ethics and compliance framework.

Key Skills and Competencies:

  • Deep understanding of SEBI, LODR, Companies Act, and other relevant laws.
  • Experience in handling IPOs and listed company secretarial work is mandatory.
  • Strong stakeholder management (Board, regulators, investors).
  • Excellent drafting, communication, and legal interpretation skills.
  • Ability to work under pressure and tight deadlines.

Educational Qualifications:

  • Qualified Company Secretary (ACS/ACS-FCS)
  • LLB (Preferred but not mandatory)
  • Certification in securities law/IPO advisory (Added advantage)
