About the client: PSS

has been mandated to hire a

Company Secretary & Chief Compliance Officer

for a leading Non-Banking Finance Company Microfinance Institution (NBFC-MFI) committed to financial inclusion and governance excellence.

Job Purpose:

The purpose of this role is to ensure statutory and regulatory compliance in line with the Companies Act 2013, RBI regulations, and other applicable laws, while driving strong corporate governance practices. The role also oversees enterprise-wide compliance systems, fraud monitoring, and risk mitigation strategies to safeguard organizational integrity.

Key Responsibilities:

Perform statutory duties and legal formalities in line with the Companies Act, Income Tax, RBI, and other regulatory frameworks applicable to NBFCs and MFIs.
Ensure adherence to corporate governance principles, managing conflicts of interest between directors and governance in the best interest of the organization.
Oversee compliance across all branches, ensuring that policies and procedures align with statutory and operational standards.
Ensure timely completion and closure of audit reports while addressing observations within stipulated timelines.
Develop, implement, and monitor systems to ensure organizational compliance with all legal and statutory requirements.
Manage fraud reporting and monitoring as per RBI regulations, including investigation, documentation, and reporting to senior management and RBI.
Provide strategic advice to the Board and senior leadership on legal, compliance, and governance-related matters.
Build a culture of compliance through training, awareness, and monitoring mechanisms across the organization.

Educational Qualifications And Experience:

A qualified Company Secretary with a minimum of 10+ years of experience in NBFCs or the financial services sector.
Strong drafting, communication, and presentation skills.
Demonstrated ability in managing compliance frameworks, audits, and corporate governance.
