Role & responsibilities

1. Secretarial Compliance & Governance

• Ensure end-to-end compliance under the Companies Act, SEBI regulations, and FEMA applicable to manufacturing operations.

• Prepare, maintain, and update all statutory records including statutory registers, minute books, resolutions, and ROC filings.

• Organize and manage Board Meetings, Committee Meetings, and Shareholder Meetings, including creation of agendas, notices, documentation, minutes, and action points.

• Draft and review vendor agreements, customer agreements, NDAs, policies, and internal legal documents for statutory and regulatory compliance.

• Liaise with RoC, auditors, legal consultants, and government authorities for smooth execution of compliance-related activities.

• Conduct internal compliance audits, identify gaps, and implement improvements to enhance corporate governance.

• Monitor compliance for subsidiaries, manufacturing units, and cross-functional departments.

1. Strategic Finance & Business Support

• Support budgeting, forecasting, and financial analysis for management decisions.

• Assist in capital allocation, investment proposals, and M&A feasibility evaluations.

• Ensure compliance in financial reporting, disclosure requirements, and statutory submissions.

• Provide financial insights to leadership for cost control and operational efficiency.

• Coordinate with purchase, production, and sales teams on new business proposals and risk mitigation.

1. Qualifications & Skills

• Qualified Company Secretary (CS); CA or finance-related certification is an added advantage.

• Minimum 3 years of experience in corporate governance, compliance management, and finance support roles.

• Strong knowledge of Companies Act, SEBI, FEMA, and manufacturing-sector regulatory norms.

• Excellent drafting, documentation, communication, and stakeholder coordination skills.
