Job Description

As companies grow and become more global in scope, employment issues become more complex. Among the most serious challenges businesses face today is compliance with multifaceted tax laws and labor regulations. Deloitte offers we'll-rounded plans and program development strategies.

 

Key Responsibilities:

 

1. Statutory Compliance

  • Ensure compliance with Companies Act, 2013, RBI regulations, SEBI regulations and other applicable laws.
  • Manage and maintain statutory registers, records, and filings with ROC (MCA), RBI, SEBI, and other authorities.
  • Ensure timely filing of annual returns, financial statements, and event-based forms.

2. Board & Committee Support

  • Schedule, organize, and document Board, Committee, and General Meetings.
  • Prepare agendas, notices, minutes, resolutions, and related documentation.
  • Advise directors on their duties, corporate governance, and legal obligations.

3. Corporate Governance & Legal Advisory

  • Support implementation of good corporate governance practices.
  • Monitor changes in legislation and ensure company compliance.
  • Liaise with legal advisors, regulators, and external stakeholders as needed.

4. Secretarial Audit & Documentation

  • Conducting Secretarial Audits and ensure timely rectification of observations.
  • Maintain and update company policies, charters, and internal control documents.

5. Other Responsibilities

  • Support M&A, restructuring, or investment processes from a compliance perspective.
  • Draft and review legal documents, contracts, and agreements as required.
  • Coordinate with auditors, consultants, and internal departments.

Qualifications & Skills:

  • Educational Qualification:

    Qualified Company Secretary (ACS) from ICSI
  • Experience:

    1 5 years of post-qualification experience in a corporate secretarial role
  • Strong knowledge of Companies Act, SEBI LODR, FEMA, and other corporate laws
  • Experience with listed companies (optional but preferred for listed entities)
  • Excellent drafting, communication, and interpersonal skills
  • Proficient in MS Office, compliance software (like MCA portal, Board portal tools)
  • Candidate from law firm would be preferred
