Key Areas of Responsibility

• Ensure full compliance with corporate, statutory, and listing regulations in line with evolving governance standards.
• Organise and manage Board, Committee, and Shareholder meetings (including AGMs/EGMs), ensuring accurate preparation of agendas, notices, minutes, disclosures, and statutory filings.
• Lead and coordinate Secretarial Audits and ensure timely submissions to regulators.
• Oversee documentation and compliance for corporate actions (including mergers, acquisitions, divestments, and cross-border transactions).
• Stay updated on regulatory developments across multiple jurisdictions and brief stakeholders on relevant changes.
• Draft and review contracts/agreements, and liaise with legal counsel on statutory and compliance matters.
• Implement systems for effective record-keeping, document retrieval, and governance reporting.
• Collaborate with senior leadership and external stakeholders to uphold the highest standards of corporate conduct.

Ideal Profile

• Qualified Company Secretary (ICSI) with 10+ years’ experience; an additional legal qualification is desirable
• Proven track record in listed companies and in handling regulatory compliances for cross-border transactions
• Strong knowledge of corporate governance frameworks, regulatory filings, and statutory compliance
• Excellent drafting, communication, and stakeholder engagement skills
• Meticulous, detail-oriented, and managing tight timelines.
• Discreet and professional in handling sensitive information
• Strong people management and coordination capabilities
