Job Requirements

A qualified Company Secretary is mandatory

Strong knowledge of the Companies Act, SEBI regulations, FEMA, Corporate Governance, Legal compliance, regulatory compliance, and corporate law.

Experience 3-7 yrs as a Company Secretary or related field

Role & responsibilities

  • Handling and fulfilling all the compliances required for the Pvt Ltd company, which are related to the Registrar of Companies (ROC) and the Ministry of Corporate Affairs (MCA). Liaise with ROC, SEBI, MCA, RBI and other regulatory authorities when required.
  • Minutes for Board meetings and providing administration for annual general meetings (AGMs): for example, producing agendas, taking minutes, conveying decisions and handling meeting correspondence.
  • Fulfilling the compliance related to the reporting to the Reserve Bank of India (RBI) related to Foreign Direct Investments (FDI), such as FCGPR and other related reporting and compliance
  • Communicating with external professionals and stakeholders involved in Corporate Governance, such as Internal Auditors and Statutory Auditors (PwC) and fulfilling compliance related to the statutory audits. Assist in corporate governance reports and disclosures, and support in implementing good governance practices.
  • Ensuring that policies are up to date and are approved. Prepare and file statutory forms and returns within prescribed timelines.
  • Advising directors and members of the senior leadership team on matters related to Corporate Governance.
  • Implementing processes or systems to help ensure good organisational management or compliance with legislation.
  • Keeping up to date with regulatory or statutory changes and policies that might affect the organisation. Assist in handling legal documentation, contracts, vendor agreements, and other business-related documents
  • Assisting other departments of the company (Such as Finance and Accounts) as and when required for the smooth functioning of the organisation.
  • Providing legal, financial and/or strategic advice during and outside of meetings.
